These Legal Terms constitute a legally binding agreement made between you and MyVase LLC ("we," "us," or "our"), concerning your access to and use of the ClipVase mobile application, our website at getclipvase.com, and any other products or services we offer now or in the future (collectively, the "Services"). YOU AGREE THAT BY ACCESSING THE SERVICES, YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY ALL OF THESE LEGAL TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

1. OUR SERVICES

ClipVase is a footage curation utility. The app matches a script you provide to videos in your own photo library, entirely on your device, so you can find, pick, and export your own clips for editing elsewhere.

• ClipVase is not a video editor and does not create footage. It finds and organizes clips you already filmed.
• ClipVase is not a backup or archival service. It stores no copies of your videos, and it is not a substitute for backing up your photo library.
• Search results are best-effort matches. The app may miss moments in your library or surface imperfect matches; you review and choose all clips yourself.

By using the Services, you acknowledge you have read and understood this description.

Access and Tiers

• 1.1 No Accounts: ClipVase does not currently offer or require user accounts. All app data is stored locally on your device (until you uninstall the app or delete it in-app).
• 1.2 Photo Library Permission: The app's core function requires photo library access, which you grant and can revoke at any time through iOS Settings. You choose the scope (full library or selected videos).
• 1.3 Future Tiers: We may introduce free and paid tiers with differing features and usage limits. Any such tiers will be described in the app at the time of purchase.

Subscriptions and Payments

We may offer paid access via auto-renewing subscriptions and/or one-time payments. Payments are processed by the platform through which you downloaded the app (e.g., Apple Inc. via the App Store).

• 1.4 Subscription Terms: Subscription pricing, billing intervals, and available tiers are displayed in the app at the time of purchase. By purchasing, you agree to the applicable platform's terms of sale. Payment will be charged to your account at confirmation of purchase.
• 1.5 Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off in your account settings at least 24 hours before the end of the current billing period.
• 1.6 Management & Cancellation: You must manage and cancel your subscriptions through your platform account settings (e.g., Apple ID Account Settings). We do not have the ability to manage or cancel your subscription.
• 1.7 Refunds: We do not offer refunds for any unused portion of a subscription term. All refund requests are subject to the applicable platform's refund policy and must be submitted to that platform.
• 1.8 Lifetime Purchases: If offered, one-time lifetime purchases are non-refundable, non-transferable, and are considered final sale.

Website

Our website at getclipvase.com provides information about our products and may include a waitlist signup. By submitting your email to our waitlist, you consent to receiving product updates from us. You may unsubscribe at any time by emailing cecilia@myvase.app.

2. INTELLECTUAL PROPERTY RIGHTS

The Services and their original content, including the "ClipVase" name and branding, all UI designs, graphics, animations, the vase mark, interaction designs, software, and written copy ("Our Content"), are the exclusive property of MyVase LLC and are protected by copyright and other intellectual property laws. Our Content is provided for your personal, non-commercial use only.

Your footage is yours. We claim no rights of any kind over your videos, your scripts, your clip selections, or your exports.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• (1) you have the legal capacity and you agree to comply with these Legal Terms;
• (2) you are 13 years of age or older (in compliance with COPPA);
• (3) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services;
• (4) you own or have the necessary rights to the footage you process with the app;
• (5) you will not use the Services for any illegal or unauthorized purpose.

4. PROHIBITED ACTIVITIES

You agree not to:

• Reverse-engineer, decompile, or otherwise attempt to discover the source code of the app.
• Circumvent usage limits or payment systems.
• Use the Services for any illegal or fraudulent purpose, or to process footage you have no right to use.
• Engage in any automated use of the system, such as using scripts or bots.
• Scrape, copy, or redistribute content from our website or app.

5. USER GENERATED CONTRIBUTIONS

ClipVase operates on an on-device privacy architecture. The Services do not require or allow you to post, send, or upload personal content to our servers; we operate no server that receives app data. Your videos, scripts, searches, clip selections, and exports ("Your Data") are stored and processed on your local device. Your Data is not considered "User Generated Contributions" under this agreement, as it is not transmitted to or accessible by us. If we introduce features that involve server-side storage of user content in the future, we will update these Terms and clearly disclose the change.

6. CONTRIBUTION LICENSE

You grant us no license to Your Data. We have no technical ability to access, view, or use it.

7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

• (1) monitor the Services for violations of these Legal Terms;
• (2) take appropriate legal action against anyone who violates the law or these Legal Terms;
• (3) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

8. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS.

You may terminate your use of the Services at any time by uninstalling the app from your device.

9. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove features of the Services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. The app works on your device without an internet connection for its core function; certain features (such as subscription management, iOS retrieving your own iCloud videos, or place-name lookups) may require connectivity.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

11. DISPUTE RESOLUTION

PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

• Informal Negotiation: For any dispute, you agree to first contact us at cecilia@myvase.app and attempt to resolve the dispute with us informally for at least thirty (30) days.
• Binding Arbitration: If we cannot resolve the dispute informally, any dispute arising out of or in connection with these Legal Terms shall be settled exclusively by binding arbitration to be held in Sheridan, Wyoming, administered by the American Arbitration Association. The arbitration shall be conducted by a sole arbitrator.
• Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU MAY NOT JOIN OR PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

12. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update the information at any time, without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT SEARCH RESULTS WILL BE COMPLETE OR ACCURATE.

14. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYVASE LLC OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100.00) OR THE TOTAL AMOUNT YOU PAID US (THROUGH APPLE) IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) your violation of the rights of a third party, including any rights in footage you process with the app.

16. USER DATA

You are solely responsible for all local data stored on your device by our app, and above all for your own footage and its backup. ClipVase stores no copies of your videos. As all app data is stored only on your device, you acknowledge that we have no ability to access, back up, or restore it. YOU AGREE THAT WE SHALL HAVE NO LIABILITY TO YOU FOR ANY LOSS OR CORRUPTION OF ANY SUCH LOCAL DATA, AND YOU HEREBY WAIVE ANY RIGHT OF ACTION AGAINST US ARISING FROM ANY SUCH LOSS.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using the Services and sending us emails constitute electronic communications. You consent to receive electronic communications (such as administrative emails or in-app notices) and you agree that all agreements, notices, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

18. MISCELLANEOUS

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right. If any provision of these Legal Terms is held to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
